Terms of Service
These Terms of Service govern access to and use of Lotegrity by Verluno, including the Lotegrity Shopify application and related services.
1. Acceptance of these terms
By installing, accessing, or using Lotegrity, you agree to these Terms of Service. If you are using Lotegrity on behalf of a business or organization, you represent that you have authority to accept these terms on its behalf.
If you do not agree to these terms, you should not install or use Lotegrity.
2. About Lotegrity
Lotegrity is a Shopify application operated under the Verluno brand in the United States. It provides operational tools for lot and batch traceability, receiving, inventory allocation, expiration management, quality controls, recall workflows, and related inventory history.
Lotegrity is intended to assist merchants with inventory and traceability operations. It does not replace a merchant's own regulatory, legal, quality-control, food-safety, product-safety, accounting, or compliance obligations.
3. Shopify account and authorization
Lotegrity requires access to an eligible Shopify store and authorization to use certain Shopify APIs and store information. You are responsible for maintaining an active Shopify account and for complying with Shopify's applicable terms and policies.
You authorize Lotegrity to access and process the Shopify data and permissions presented during installation or subsequent authorization when necessary to provide the service.
4. Merchant responsibilities
You are responsible for:
- Ensuring information entered into Lotegrity is accurate, complete, and appropriate for your business.
- Reviewing lot, expiration, inventory, quality, recall, and fulfillment information before relying on it for operational decisions.
- Maintaining appropriate physical inventory controls and procedures outside Lotegrity.
- Complying with laws, regulations, industry requirements, and Shopify requirements applicable to your business and products.
- Maintaining the confidentiality and security of access to your Shopify store and authorized user accounts.
- Avoiding unnecessary personal, confidential, or sensitive information in free-text notes or other operational fields.
5. Inventory and traceability information
Lotegrity may calculate, organize, display, or update inventory information using data received from Shopify and information entered into Lotegrity.
Inventory systems can be affected by delayed webhooks, Shopify API availability, incorrect merchant data, simultaneous inventory activity, connectivity problems, or other technical conditions. You should maintain reasonable business controls and verify critical inventory information when appropriate.
Lotegrity does not guarantee that use of the service will by itself satisfy any regulatory traceability, recall, expiration, food-safety, pharmaceutical, medical-device, or other industry-specific requirement.
6. Subscriptions and billing
Paid Lotegrity subscriptions, charges, trial terms, and billing intervals will be presented through Shopify or on the applicable Lotegrity App Store listing before a merchant accepts a charge.
Shopify may process subscription charges on our behalf. Billing, cancellation, and charge-related processes may therefore also be subject to Shopify's applicable terms and billing procedures.
Unless otherwise required by law or expressly stated at the time of purchase, fees already incurred are not automatically refundable solely because a merchant stops using or uninstalls Lotegrity.
7. Acceptable use
You may not use Lotegrity to:
- Violate applicable law or the rights of another person.
- Attempt to gain unauthorized access to Lotegrity, Shopify systems, another merchant's data, or supporting infrastructure.
- Interfere with, disrupt, probe, overload, or damage the service or its infrastructure.
- Reverse engineer or circumvent security or access controls except where such restrictions are prohibited by applicable law.
- Use the service to transmit malicious code or conduct fraudulent or abusive activity.
8. Service availability and changes
We work to keep Lotegrity available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, Shopify outages, third-party infrastructure, network conditions, software changes, or events outside our reasonable control can affect availability.
We may add, modify, replace, or discontinue features when reasonably necessary to improve, secure, maintain, or develop the service.
9. Intellectual property
Lotegrity, the Lotegrity name, branding, software, interface, design, documentation, and related materials are owned by Verluno or its licensors and are protected by applicable intellectual property laws.
These terms provide you with a limited, non-exclusive, non-transferable right to use Lotegrity for your own authorized business operations while your access remains active.
You retain ownership of information that you or your business provides to Lotegrity, subject to the rights necessary for us to process that information and provide the service.
10. Privacy
Our handling of information is described in the Lotegrity Privacy Policy. By using the service, you acknowledge that information will be processed as described there.
11. Suspension and termination
You may stop using Lotegrity and uninstall the application from Shopify at any time, subject to any outstanding charges or obligations.
We may suspend or terminate access when reasonably necessary to protect the service, comply with law, address security concerns, prevent abuse or fraud, or respond to a material violation of these terms.
12. Disclaimer of warranties
To the maximum extent permitted by applicable law, Lotegrity is provided on an "as is" and "as available" basis. We disclaim warranties that are not expressly stated in these terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that every inventory discrepancy, expiration issue, quality issue, recall risk, fulfillment event, or data error will be detected or prevented by Lotegrity.
13. Limitation of liability
To the maximum extent permitted by applicable law, Verluno will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, inventory, or data arising from or related to use of Lotegrity.
To the maximum extent permitted by applicable law, our aggregate liability arising from or relating to Lotegrity will not exceed the amount you paid for Lotegrity during the twelve months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations or exclusions, so portions of this section may not apply to you.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Verluno harmless from third-party claims, damages, liabilities, and reasonable costs arising from your misuse of Lotegrity, violation of these terms, violation of applicable law, or information and instructions supplied by you through the service.
15. Governing law
These terms are governed by the laws applicable in the State of Florida, United States, without regard to conflict-of-law principles, except to the extent another law must apply.
16. Changes to these terms
We may update these Terms of Service when Lotegrity, our business practices, Shopify requirements, or applicable laws change. Material changes will be reflected by updating the effective date displayed on this page.
Continued use of Lotegrity after revised terms become effective constitutes acceptance of the revised terms to the extent permitted by applicable law.
